AUTHORIZED BRAND AGREEMENT (1-YEAR TERM)

This Agreement is between the Supplier (“Supplier”) and Visionary Branding Company LLC (“Retailer”).

1. Exclusive Rights

The Supplier gives Visionary Branding Company LLC exclusive rights to market and sell the Supplier’s listed products for one (1) year from the date this form is submitted.

During this period, the Supplier will not sell or authorize others to sell these same products.

2. Term & Renewal

This Agreement lasts one year and may be renewed annually by completing a renewal form and paying the renewal fee.

If not renewed, the Agreement expires and exclusivity ends.

3. Supplier Responsibilities

The Supplier agrees to:

• Provide accurate information
• Only sell the Supplier’s products if the items were purchased through Visionary Branding Company LLC at wholesale pricing
• Not reproduce or sell any items independently that were not purchased from the Retailer
• Allow the Retailer to price and promote their products as needed

4. Retailer Responsibilities

Visionary Branding Company LLC agrees to:

• Promote and sell the Supplier’s products professionally
• List and feature the Supplier’s merchandise on Visionary Branding Company LLC’s website and sales platforms
• Package and ship products directly to customers
• Handle all customer interactions, order fulfillment, and sales presentation

5. Wholesale & Retail Pricing

The Retailer will sell finished products to the Supplier at wholesale pricing.

The Supplier may resell those products at the suggested retail price (SRP) provided by Visionary Branding Company LLC.

6. Agreement Fee

A non-refundable $30 Authorized Brand Agreement Fee is required.

This Agreement is not active until payment is received.

7. Ownership

The Supplier owns their original product designs.

Any designs, branding, or items created by Visionary Branding Company LLC belong solely to Visionary Branding Company LLC and may not be reproduced or sold by the Supplier without permission.

8. Acceptance

By purchasing, the Supplier confirms that:

• They understand and agree to this one-year exclusive sales agreement
• They agree to pay the $30 Agreement Fee
• Their submission acts as their digital signature
