Exclusive Rights\u003c\/h2\u003e\n\u003cp\u003eThe Supplier gives Visionary Branding Company LLC exclusive rights to market and sell the Supplier’s listed products for one (1) year from the date this form is submitted.\u003c\/p\u003e\n\u003cp\u003eDuring this period, the Supplier will not sell or authorize others to sell these same products.\u003c\/p\u003e\n\u003ch2\u003e2. Term \u0026amp; Renewal\u003c\/h2\u003e\n\u003cp\u003eThis Agreement lasts one year and may be renewed annually by completing a renewal form and paying the renewal fee.\u003c\/p\u003e\n\u003cp\u003eIf not renewed, the Agreement expires and exclusivity ends.\u003c\/p\u003e\n\u003ch2\u003e3. Supplier Responsibilities\u003c\/h2\u003e\n\u003cp\u003eThe Supplier agrees to:\u003c\/p\u003e\n\u003cul\u003e\n\u003cli\u003eProvide accurate information\u003c\/li\u003e\n\u003cli\u003eOnly sell the Supplier’s products if the items were purchased through Visionary Branding Company LLC at wholesale pricing\u003c\/li\u003e\n\u003cli\u003eNot reproduce or sell any items independently that were not purchased from the Retailer\u003c\/li\u003e\n\u003cli\u003eAllow the Retailer to price and promote their products as needed\u003c\/li\u003e\n\u003c\/ul\u003e\n\u003ch2\u003e4. Retailer Responsibilities\u003c\/h2\u003e\n\u003cp\u003eVisionary Branding Company LLC agrees to:\u003c\/p\u003e\n\u003cul\u003e\n\u003cli\u003ePromote and sell the Supplier’s products professionally\u003c\/li\u003e\n\u003cli\u003eList and feature the Supplier’s merchandise on Visionary Branding Company LLC’s website and sales platforms\u003c\/li\u003e\n\u003cli\u003ePackage and ship products directly to customers\u003c\/li\u003e\n\u003cli\u003eHandle all customer interactions, order fulfillment, and sales presentation\u003c\/li\u003e\n\u003c\/ul\u003e\n\u003ch2\u003e5. Wholesale \u0026amp; Retail Pricing\u003c\/h2\u003e\n\u003cp\u003eThe Retailer will sell finished products to the Supplier at wholesale pricing.\u003c\/p\u003e\n\u003cp\u003eThe Supplier may resell those products at the suggested retail price (SRP) provided by Visionary Branding Company LLC.\u003c\/p\u003e\n\u003ch2\u003e6. Agreement Fee\u003c\/h2\u003e\n\u003cp\u003eA non-refundable $30 Authorized Brand Agreement Fee is required.\u003c\/p\u003e\n\u003cp\u003eThis Agreement is not active until payment is received.\u003c\/p\u003e\n\u003ch2\u003e7. Ownership\u003c\/h2\u003e\n\u003cp\u003eThe Supplier owns their original product designs.\u003c\/p\u003e\n\u003cp\u003eAny designs, branding, or items created by Visionary Branding Company LLC belong solely to Visionary Branding Company LLC and may not be reproduced or sold by the Supplier without permission.\u003c\/p\u003e\n\u003ch2\u003e8.
